1. Scope of services
Shanghai Grey Claw Technology Co., Ltd. ("Ashpaw", "we") provides enterprise re-platforming, ERP replacement and custom private software development for manufacturers. The exact scope, deliverables, milestones and fees are governed by the signed agreement between the parties.
2. Intellectual property
Upon full payment, the project source code, database schema and documentation we deliver belong to the client. The general frameworks, internal tooling and reusable building blocks Ashpaw has built over time remain Ashpaw’s property.
3. Confidentiality
We rigorously protect client business data and trade secrets, and sign NDAs where required. We will not disclose specific client names, case details or commercial data without written consent.
4. Liability and disclaimers
Within the scope of the agreement, we take responsibility for the quality of deliverables and go-live outcomes. Issues caused by force majeure, the client’s own environment or third-party systems are out of scope and follow the contract terms.
5. Changes to these terms
